Terms of Service

1. Acceptance of terms

By accessing or using the dashbe website at https://dashbe.io ("the Site") or engaging dashbe AI Studio ("dashbe", "we", "us") for services, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Site or our services.

2. Our services

dashbe is a business software consultancy. We design, build, customize, integrate, and operate modular, open-source ERP systems, and we deliver AI-assisted development and related advisory services. Any specific engagement is governed by a separate written agreement ("Statement of Work" or "SOW") which, in case of conflict, prevails over these Terms for that engagement.

3. Use of the site

You agree to use the Site lawfully and not to:

• misrepresent your identity or affiliation;
• attempt to gain unauthorized access to systems or data;
• interfere with the Site's operation, security, or performance;
• submit content that is unlawful, infringing, or harmful.

4. Client responsibilities

For paid engagements, you are responsible for the accuracy of the information and access you provide, for timely review and approvals, and for complying with laws applicable to your data and operations. You retain ownership of your data; we process it only as needed to deliver the services and as described in our Privacy Policy.

5. Intellectual property

The Site, its branding, and our proprietary methods and tooling are owned by dashbe and protected by applicable laws. Custom modules and deliverables created specifically for a client are addressed in the relevant SOW. Open-source components remain under their respective licenses.

6. Fees & payment

Fees, milestones, and payment terms are set out in your SOW or proposal. Unless otherwise agreed, invoices are payable in the currency and terms stated on the invoice. Late payments may suspend non-essential work without liability to dashbe.

7. Limitation of liability

To the maximum extent permitted by law, dashbe's total liability for any claim arising out of or relating to the services or the Site is limited to the fees you paid us for the engagement giving rise to the claim in the twelve months preceding it. In no event is dashbe liable for indirect, incidental, special, consequential, or lost-profit damages.

8. No warranty

The Site and services are provided "as is" without warranties of any kind, express or implied. We do not warrant the Site will be uninterrupted or error-free. Professional services are performed with reasonable skill and care consistent with industry practice.

9. Termination

We may suspend or terminate access to the Site for breach of these Terms. Engagement-specific termination rights are governed by the relevant SOW. Sections that by their nature should survive (fees, liability, IP, governing law) remain in effect after termination.

10. Changes to these terms

We may update these Terms from time to time. We will revise the "Last updated" date above when we do. Continued use of the Site or services after a change constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of Morocco, without regard to conflict-of-law rules. Any dispute will be resolved in the competent courts of Morocco unless otherwise required by mandatory local law.
